This End User License Agreement (“Agreement”) is a legal agreement between you (“you”) and Taskr (“Taskr,” “we,” or “us”) governing your installation and use of the Taskr desktop and mobile application software, including any associated documentation and updates (the “Software”). The Software is one component of the Taskr platform; your use of the hosted service is also governed by our Terms of Service and Privacy Policy. By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License grant
Subject to your compliance with this Agreement and, where applicable, a valid subscription, Taskr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you own or control, solely for your internal business operations in connection with the Taskr service.
2. Restrictions
You may not, and may not permit any third party to:
- copy, modify, or create derivative works of the Software except as expressly permitted by this Agreement;
- distribute, sell, lease, rent, lend, or sublicense the Software to any third party;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- remove, alter, or obscure any proprietary notices on the Software;
- use the Software to build a competing product or service, or to circumvent any usage limits or security measures; or
- use the Software in violation of any applicable law or regulation.
3. Ownership
The Software is licensed, not sold. Taskr and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set out in this Agreement.
4. Updates
The Software may automatically download and install updates, enhancements, or new versions from time to time to improve performance, add features, or address security. This Agreement governs any such updates unless they are accompanied by a separate license, in which case that license applies.
5. Accounts and subscriptions
Access to the Software and its features may require a Taskr account and an active subscription. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Billing and plan terms are described in your order and in our Terms of Service.
6. Data and privacy
Your use of the Software involves the collection and processing of data as described in our Privacy Policy. You retain your rights to the data you submit through the Software, and you are responsible for having the necessary rights to submit it.
7. Third-party components
The Software may include or interoperate with third-party software or services (for example, payment or point-of-sale integrations). Such components are subject to their own terms, and Taskr is not responsible for third-party software or services.
8. App stores
If you obtain the Software through a third-party application marketplace (such as the Apple App Store or Google Play, each a “Marketplace”), you acknowledge that this Agreement is between you and Taskr only, and not with the Marketplace, and that the Marketplace is not responsible for the Software or its content.
For Software obtained from the Apple App Store, you further acknowledge that: (a) Apple has no obligation to provide maintenance or support for the Software; (b) in the event the Software fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any), and to the maximum extent permitted by law Apple has no other warranty obligation with respect to the Software; (c) Apple is not responsible for addressing any claims relating to the Software, including product-liability, legal, regulatory, or intellectual-property claims; and (d) Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
9. Term and termination
This Agreement remains in effect until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must stop using the Software and delete all copies in your possession. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
10. Disclaimers
The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Taskr will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from or related to your use of the Software. Our total liability for any claim will not exceed the amounts you paid to us for the Software or the related subscription in the twelve months preceding the claim.
12. Export and sanctions compliance
You represent that you are not located in, and will not use the Software in, any country or region subject to comprehensive sanctions, and that you are not on any government restricted-party list. You agree to comply with all applicable export-control and sanctions laws.
13. U.S. government end users
The Software is “commercial computer software” and “commercial computer software documentation.” Any use, reproduction, or disclosure by the U.S. government is subject to the restrictions set out in this Agreement.
14. Governing law
This Agreement is governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles, except that the foregoing does not limit any rights you may have under mandatory consumer-protection laws in your jurisdiction.
15. Changes to this Agreement
We may update this Agreement from time to time. We will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Software after changes take effect constitutes acceptance of the revised Agreement.
